BuyHappyThings.com is a marketplace that connects independent sellers of model trains, locomotives, rolling stock, track, accessories, and related items with buyers. BuyHappyThings.com is a venue — we are not the seller of any item listed on the platform. Sellers are independent third parties, and BuyHappyThings.com is not a party to any transaction between buyers and sellers.

2. Eligibility

You must be at least 18 years old to create an account or make purchases on BuyHappyThings.com. By using our platform, you represent and warrant that you meet this age requirement and that you have the legal capacity to enter into a binding agreement.

3. Accounts

• You may create one buyer account and, if approved, one seller account. Duplicate accounts are not permitted.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• You agree to provide accurate, complete, and current information when creating your account and to update it as necessary.
• You must notify us immediately at support@buyhappythings.com if you suspect unauthorized access to your account.

4. Buyer Obligations

• By submitting an order, you agree to complete the purchase at the listed price and pay all applicable shipping charges.
• You agree to provide an accurate shipping address. We are not responsible for orders lost or delayed due to an incorrect address.
• You may not open fraudulent disputes, file false Cases, or misuse buyer protections.
• You may not use our platform to purchase items for resale in violation of a seller's stated policies.

5. Seller Obligations

Sellers must complete a separate seller registration and agree to our seller policies. As a seller, you agree to:

• Accurately describe every item you list, including its scale, condition, manufacturer, and any flaws or missing components.
• Only list items you own and have the right to sell.
• Ship orders within your stated handling time and provide tracking information when available.
• Honor all prices and terms as listed at the time of purchase.
• Respond to buyer messages and dispute Cases in a timely manner.
• Comply with all applicable BuyHappyThings.com policies, including our Seller Policies.

6. Platform Fees

BuyHappyThings.com charges sellers a platform fee of 3.5% of the item subtotal for each completed transaction. This fee does not apply to shipping charges. Fees are deducted from seller payouts. There are no fees for buyers.

Fees are subject to change. We will provide advance notice of any fee changes, and they will not apply retroactively to completed transactions.

7. Prohibited Content and Conduct

You may not use BuyHappyThings.com to:

• List, sell, or attempt to sell items that are counterfeit, stolen, illegal, or prohibited by our policies.
• Harass, threaten, or intimidate any member, or post discriminatory content or refuse service based on protected characteristics (see our Member Conduct Policy).
• Circumvent our checkout process or solicit off-platform transactions (see our Off-Platform Transactions Policy).
• Manipulate search results, reviews, or rankings through deceptive means.
• Use automated tools to scrape, crawl, or extract data from our platform without our written permission.
• Violate any applicable local, state, federal, or international law.

8. Returns

Returns are governed by our Returns Policy. Sellers may set their own return windows within the limits described there. Returns for items that are materially not as described are handled through our Cases Policy regardless of the seller's return policy.

9. Intellectual Property

You retain ownership of content you submit to BuyHappyThings.com, including listing photos and descriptions. By submitting content, you grant BuyHappyThings.com a non-exclusive, worldwide, royalty-free license to display, reproduce, and distribute that content for the purpose of operating and promoting the marketplace. This license terminates when you permanently delete the content from our platform, except to the extent we need to retain it for legal, backup, or operational purposes or where the content has already been distributed in connection with our services.

The BuyHappyThings.com name, logo, and platform design are the property of Weitzman Creations LTD. You may not use them without our prior written consent.

10. Termination

We may suspend or terminate your account at any time, with or without notice, for violations of these Terms or our policies, for activity that we determine is harmful to the platform or its members, or for any other reason at our discretion. You may close your account at any time by contacting us at support@buyhappythings.com.

Upon termination, your right to use the platform ends. Provisions that by their nature should survive termination — including intellectual property, disclaimers, limitation of liability, and dispute resolution — will survive.

11. DISCLAIMER OF WARRANTIES

THE BUYHAPPYTHINGS.COM PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE MAKE NO REPRESENTATIONS OR WARRANTIES REGARDING THE ACCURACY, QUALITY, OR LEGALITY OF ANY LISTING OR THE CONDUCT OF ANY BUYER OR SELLER.

12. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, BUYHAPPYTHINGS.COM AND WEITZMAN CREATIONS LTD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU OR TO YOU THROUGH THE PLATFORM IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100.

13. Indemnification

You agree to indemnify, defend, and hold harmless BuyHappyThings.com, Weitzman Creations LTD, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses — including reasonable attorneys' fees — arising out of or related to: (a) your use of the platform; (b) your listings, content, or communications; (c) your violation of these Terms or any applicable law; or (d) any transaction between you and another member.

14. Disputes Between Members

BuyHappyThings.com provides a dispute resolution process through our Cases Policy. We encourage all members to attempt to resolve disputes directly before escalating to a Case. BuyHappyThings.com's involvement in member disputes is limited to the scope described in our Cases Policy.

BuyHappyThings.com is not responsible for the outcome of any transaction or dispute between members. You release BuyHappyThings.com from any claims arising from disputes with other members.

15. Binding Arbitration and Class Action Waiver

Please read this section carefully. It affects your legal rights.

Except for claims that qualify for small claims court, any dispute, controversy, or claim arising out of or relating to these Terms or your use of BuyHappyThings.com — including disputes about the existence, scope, or validity of this arbitration agreement — shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court.

YOU AND BUYHAPPYTHINGS.COM EACH WAIVE THE RIGHT TO A TRIAL BY JURY AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS-WIDE ARBITRATION. ALL CLAIMS MUST BE BROUGHT IN YOUR INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE ACTION.

Arbitration will be conducted in your county of residence or, at your election, by telephone or video conference. The arbitrator's decision is binding and may be entered as a judgment in any court of competent jurisdiction. Either party may seek emergency equitable relief from a court to prevent irreparable harm while arbitration is pending.

You may opt out of this arbitration agreement by sending written notice to legal@buyhappythings.com within 30 days of first agreeing to these Terms. Your opt-out notice must include your name, email address, and a statement that you wish to opt out of arbitration.

16. Governing Law

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-law provisions. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in New York.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by a prominent notice on our platform at least 14 days before the changes take effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
